Resumo
The finding of indeterminacy about the interpretation of the Law 6.404/76 in conjunction with the Civil Code has attracted interest in discussing, through a specific institute of Corporate Law, the shareholders agreement, contextualized by a case, the application of general principles of civil contract law. The separation of these laws has brought a series of questions regarding the application of those principles in interpreting the corporate rule. Therefore, the contractual nature of the shareholders agreement, discussed in this hypothesis is not registered at company headquarters, and its regulation by the entire corporate law, constitutes a paradigmatic example to promote discussion that also exists in doctrine and jurisprudence.
