Transnational business regulation : what explains extraterritorial regulatory capacity? Lessons from the U.S. FCPA and the EU GDPR’s impact in Brazil

Resumo
In an economy characterized by the intense global flow of people, goods, capital, and data, the U.S. Foreign Corrupt Practices Act (FCPA) and the EU General Data Protection Regulation (GDPR) have gained prominence for their global reach and the central role of their enforcement agencies in resolving transnational issues, prompting reflections on the still-prevailing normative-dogmatic parameters related to jurisdictional territoriality. Based on an empirical and comparative study of the enforcement of the FCPA in transnational settlements with Odebrecht (ODB) and the direct influence of the GDPR on the approval of Brazil’s General Data Protection Law (LGPD), this study seeks to contribute to the literature on transnational business regulation by: (i) cataloging the FCPA and GDPR as innovative extraterritorial regulatory models, focusing on the description of the legal-normative innovations that have endowed these regulations with broad extraterritorial reach. Assuming that the regulatory model’s configuration alone does not explain its extraterritorial regulatory capacity, this research also aims to investigate (ii) how and why the extraterritorial regulatory models of the FCPA and GDPR have significantly impacted jurisdictions, local authorities, and large corporations in Brazil and Latin America within the multijurisdictional dynamics of the ODB case and the approval of data protection regulations. Finally, through the empirical and comparative study of multijurisdictional dynamics, this research intends to (iii) develop analytical categories for the examination of extraterritorial regulatory capacity, which may be applicable to analyses of other transnational business regulations and their enforcement authorities.
