Resumo
The purpose of this dissertation is to identify and analyze the key historical and institutional facts that have led to the present corporate govemance policy adopted by Caixa de Previdência dos Funcionários do Banco do Brasil (PREVI) in the companies in which it has a relevant shareholding position. Focusing on the centenary largest Latin America pension fund - over US$ 20 billions in investments (assets), the review aims at recording the important steps on the evolution of corporate govemance and development of capital markets in Brazil. The first elements that denote the Institution's intention to actively participate in the strategies or policies of its shareholding assets date back to the beginning of 1991. This research ranges therefore from 1990 to 2003, when the Corporate Govemance Model was officially instated in PREVI. The development of the Model was gradual, stimulated by the increase in shareholding participation and board positions - peaking, in 2003, 95 companies and 367 seats. This dissertation, based on Yin taxonomy as a single (one company) case study, used documents, file records and interviews as sources of evidence, researched 10ngitudinally in time, observing meaningful moments on the subject. It also, based on previous works, discusses the motivational aspects ofthe Institution's acts in the matter.
